1. Agreement to Terms

By accessing or using the Stratify AI website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services. These Terms constitute a legally binding agreement between you and Stratify AI ("we," "our," or "us").

2. Description of Services

Stratify AI provides AI readiness assessment services, including diagnostic tools, executive reports, and strategic recommendations designed to help organizations evaluate and improve their AI capabilities. Our Services are intended for business use by organizations seeking to understand their AI readiness posture.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. By using our Services, you represent and warrant that you meet these requirements and have the authority to bind your organization to these Terms.

4. Account and Access

Certain features of our Services may require you to provide information or create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your information
• Keep your access credentials confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Services

Our Property: The Services, including all content, features, functionality, software, and trademarks (including "AI Readiness Index™," "AI Value Readiness Matrix™," "Scaling Readiness Index," and "Governance Readiness Index"), are owned by Stratify AI and protected by intellectual property laws. You may not use our trademarks without prior written consent.

Your Data: You retain ownership of the data and information you provide to us. By using our Services, you grant us a limited license to use, process, and analyze your data solely to provide the Services to you.

7. Assessment Reports and Deliverables

Reports and deliverables generated through our Services:

• Are provided for informational and decision-support purposes only
• Do not constitute professional advice (legal, financial, or technical)
• Should be used as one input among many in your decision-making process
• May be shared within your organization for internal business purposes
• May not be publicly distributed or used for competitive benchmarking without consent

8. Payment Terms

If you purchase paid Services, you agree to pay all fees as described at the time of purchase. All fees are non-refundable unless otherwise specified in a separate agreement. We reserve the right to modify pricing with reasonable notice. Payment processing is handled by third-party providers subject to their own terms.

9. Confidentiality

We treat all assessment data and organizational information you provide as confidential. We will not disclose your confidential information to third parties except as necessary to provide the Services, as required by law, or with your consent. This obligation survives termination of these Terms.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRATIFY AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Stratify AI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of another party.

13. Termination

We may suspend or terminate your access to the Services at any time for any reason, including breach of these Terms. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, limitations of liability, and indemnification.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Stratify AI regarding the Services and supersede all prior agreements and understandings.
